Terms & Conditions

These Terms of Service ("Terms") govern your use of VitalXCare products, services, mobile application, and website. By accessing or using any of our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing, browsing, or using the VitalXCare website (https://www.vitalxcare.com), mobile application, medical devices, or any other services provided by VitalXCare Inc. (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy & Security Policy and Cookie Policy, which are incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue use of all Services. We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.

If you are accepting these Terms on behalf of an organization (such as a hospital, clinic, or employer), you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

To use VitalXCare Services, you must:

  • Be at least 16 years of age (or the age of majority in your jurisdiction) to create an account. Users under 16 may use VitalXCare devices under parental supervision, but a parent or legal guardian must manage any account.
  • Have the legal capacity to enter into a binding agreement.
  • Not be located in a jurisdiction where the use of health monitoring devices or data transmission is prohibited by law.
  • Provide accurate, current, and complete information when creating an account or placing an order.

By using our Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Services.

3. Products & Services

3.1 VitalXCare Devices

VitalXCare manufactures and sells home health monitoring devices, including but not limited to:

  • Blood Pressure Monitor (BP Monitor Pro)
  • Infrared Thermometer
  • Pulse Oximeter (SpO2 Monitor)
  • ECG/EKG Monitor
  • Health Monitoring Bundles

Product specifications, pricing, and availability are subject to change without prior notice. We reserve the right to discontinue any product at any time.

3.2 VitalXCare Mobile Application

The VitalXCare mobile app (available on Android and iOS) connects to our medical devices via Bluetooth for health data recording, visualization, and reporting. The app is provided free of charge, with optional premium features that may be offered in the future.

3.3 VitalXCare Website

The website provides product information, support documentation, purchasing capabilities, and general health education content. All content on the website is for informational purposes and is subject to these Terms.

3.4 Cloud Services (Optional)

Optional cloud-based features may include data backup, multi-device synchronization, and healthcare provider sharing. These services require account creation and are subject to additional terms and our Privacy Policy.

4. Medical Disclaimer

IMPORTANT — PLEASE READ CAREFULLY:

  • VitalXCare products are wellness and health monitoring tools designed for informational and educational purposes. They are NOT a substitute for professional medical advice, diagnosis, or treatment.
  • DO NOT rely on VitalXCare readings to make medical decisions without consulting a qualified healthcare professional.
  • In case of a medical emergency, call your local emergency number immediately (911 in the US, 112 in the EU).
  • VitalXCare devices are intended for home use and general wellness monitoring. They are NOT FDA-cleared or CE-marked as Class IIa/IIb diagnostic medical devices (unless explicitly stated for a specific product).

4.1 No Medical Advice

The health data, insights, trends, classifications (e.g., WHO blood pressure categories), and recommendations provided by VitalXCare products and the mobile app are for general informational purposes only. They do not constitute medical advice, and you should not use them as a basis for medical decisions.

4.2 Accuracy Limitations

While we strive for accuracy, home health monitoring devices may produce readings that differ from clinical-grade equipment. Factors that can affect accuracy include:

  • Improper device usage or positioning
  • Patient movement during measurement
  • Environmental conditions (temperature, humidity, altitude)
  • Individual physiological differences
  • Low battery or Bluetooth interference

Always share your readings with your healthcare provider for proper clinical interpretation.

4.3 Healthcare Provider Relationship

VitalXCare does not establish a doctor-patient relationship. If you use the "Share with Doctor" feature, the responsibility for medical interpretation lies with your healthcare provider. VitalXCare is not responsible for any medical decisions made by healthcare providers based on our data.

5. User Accounts

5.1 Account Creation

Certain features (such as cloud backup and data sharing) require you to create an account. When creating an account, you agree to:

  • Provide accurate, truthful, and complete registration information
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

5.2 Account Security

You are solely responsible for maintaining the security of your account credentials. VitalXCare will never ask you for your password via email, phone, or any other communication channel. We strongly recommend enabling two-factor authentication (2FA) if available.

5.3 Account Termination

You may delete your account at any time through the app settings or by contacting us. Upon deletion, we will erase your personal data in accordance with our Privacy Policy. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

6. Purchases & Payments

6.1 Pricing

All prices displayed on our website are in US Dollars (USD) unless otherwise specified. Prices are exclusive of applicable taxes and shipping costs, which will be calculated and displayed at checkout. We reserve the right to change prices at any time without prior notice, but changes will not affect orders already placed and confirmed.

6.2 Payment

We accept payment via major credit and debit cards processed through Stripe, a PCI DSS Level 1 certified payment processor. We do not store your full card number, CVV, or other sensitive payment information on our servers.

6.3 Order Confirmation

After placing an order, you will receive an email confirmation. This confirmation constitutes our acceptance of your order and forms a binding contract. We reserve the right to cancel orders due to pricing errors, stock unavailability, or suspected fraud.

6.4 Shipping & Delivery

Shipping times and costs vary by destination. Estimated delivery times are provided at checkout and are not guaranteed. Risk of loss and title for items purchased from VitalXCare pass to you upon delivery to the shipping carrier.

6.5 Returns & Refunds

  • 30-Day Return Policy: You may return unopened, unused products within 30 days of delivery for a full refund (excluding shipping costs).
  • Defective Products: If you receive a defective product, contact us within 14 days for a replacement or full refund, including shipping.
  • Non-Returnable Items: Products that have been opened, used, or damaged by the customer are not eligible for return, except in cases of manufacturing defect.
  • Refund Processing: Refunds are processed to the original payment method within 10 business days of receiving the returned product.

6.6 EU Consumer Rights

If you are a consumer in the European Union, you have a statutory 14-day right of withdrawal from the date you receive the goods, without needing to give any reason. This right exists in addition to our 30-day return policy. To exercise this right, contact us at [email protected].

7. Intellectual Property

7.1 Our Property

All content, software, designs, logos, trademarks, text, images, graphics, and other materials on the VitalXCare website, mobile app, and devices (collectively, "Content") are the exclusive property of VitalXCare Inc. or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms. This license does not include:

  • Modifying, copying, or distributing our Content
  • Reverse engineering, decompiling, or disassembling our software or firmware
  • Using our Content for commercial purposes without written permission
  • Removing any copyright or proprietary notices
  • Using automated tools (bots, scrapers) to collect data from our Services

7.3 Your Data

You retain full ownership of your personal data and health readings. By using cloud features, you grant VitalXCare a limited license to store, transmit, and process your data solely for the purpose of providing the Services to you. This license terminates when you delete your account.

7.4 Feedback

If you provide suggestions, feedback, or ideas about our products or services, you grant VitalXCare a perpetual, royalty-free, worldwide license to use, modify, and incorporate such feedback without any obligation to you.

8. Prohibited Conduct

You agree not to:

  • Use our Services for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Upload malicious code, viruses, or any other harmful technology
  • Use our Services to transmit spam, unsolicited communications, or advertisements
  • Resell, redistribute, or commercially exploit our products or services without authorization
  • Remove, alter, or tamper with VitalXCare device hardware, firmware, or safety features
  • Use our devices on animals (unless explicitly designed for veterinary use)
  • Falsify health readings, tamper with measurement data, or use our products for fraudulent purposes (e.g., insurance fraud)

Violation of this section may result in immediate account suspension or termination, without notice or refund.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • VitalXCare Inc., its directors, officers, employees, affiliates, agents, contractors, and licensors shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.
  • This includes, without limitation, damages for loss of profits, data, goodwill, personal injury, or any other intangible losses, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to VitalXCare for the specific product or service giving rise to the claim during the twelve (12) months preceding the event.

9.1 Medical Liability Exclusion

VitalXCare is NOT liable for any medical decisions, diagnoses, or treatments made based on readings from our devices or app. Our devices are wellness monitoring tools, not diagnostic instruments (unless a specific product is explicitly CE-marked or FDA-cleared for diagnostic use).

9.2 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, wars, government actions, internet outages, power failures, or supply chain disruptions.

Note: Some jurisdictions (including the EU) do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms affects your statutory rights as a consumer.

10. Indemnification

You agree to indemnify, defend, and hold harmless VitalXCare Inc., its officers, directors, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third party's intellectual property or other rights
  • Any content or data you provide through our Services

This indemnification obligation survives the termination of these Terms and your use of our Services.

11. Warranty & Disclaimers

11.1 Product Warranty

VitalXCare devices are covered by a one (1) year limited warranty from the date of purchase. This warranty covers defects in materials and workmanship under normal use. The warranty does NOT cover:

  • Damage caused by misuse, accidents, or unauthorized modifications
  • Normal wear and tear, including battery degradation
  • Damage from use with unauthorized accessories or third-party apps
  • Cosmetic damage that does not affect functionality
  • Water damage (unless the device is rated for water resistance)

11.2 Software Disclaimer

The VitalXCare app and website are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee that our software will be error-free, uninterrupted, secure, or compatible with all devices.

11.3 No Warranty of Accuracy

While we strive for accuracy in our health measurements, we make no warranty or guarantee regarding the accuracy, completeness, or reliability of any health data, readings, or insights provided by our products. All readings should be confirmed by a qualified healthcare professional before being relied upon for clinical decisions.

11.4 Third-Party Services

Our Services may contain links to or integrations with third-party websites, services, or content. We are not responsible for the availability, accuracy, or content of such third parties. Your interactions with third-party services are governed by their respective terms and policies.

12. Termination

12.1 Your Right to Terminate

You may stop using our Services and delete your account at any time. To close your account: use the in-app settings (Settings → Account → Delete Account), or email us at [email protected].

12.2 Our Right to Terminate

We reserve the right to suspend or terminate your account and access to our Services, without prior notice, if:

  • You violate any provision of these Terms
  • We suspect fraudulent or illegal activity
  • You fail to pay for purchased products or services
  • We are required to do so by law or a court order
  • We decide to discontinue any or all of the Services (with reasonable notice)

12.3 Effect of Termination

Upon termination of your account:

  • Your right to use the cloud-based Services will cease immediately
  • Your local health data on your device remains unaffected
  • Cloud-hosted data will be deleted within 30 days, in accordance with our Privacy Policy
  • Sections of these Terms that by their nature should survive (including Limitation of Liability, Indemnification, Intellectual Property, and Governing Law) will survive termination

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us first and attempt to resolve the dispute informally by emailing [email protected]. We will make reasonable efforts to resolve the dispute within 30 days.

13.2 Arbitration (US Users)

If you are a resident of the United States and informal resolution fails, you and VitalXCare agree to resolve any dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Orange County, California. You agree that any dispute will be resolved on an individual basis, not as a class action or representative proceeding.

13.3 European Consumer Rights

If you are a consumer in the European Union, nothing in these Terms affects your right to:

  • Bring claims in the courts of your country of residence
  • Use the European Commission's Online Dispute Resolution platform (ec.europa.eu/consumers/odr)
  • Invoke mandatory consumer protection laws of your jurisdiction

13.4 Statute of Limitations

Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action accrues, or the claim is permanently barred. This limitation does not apply where prohibited by law.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any legal proceedings that are not subject to arbitration shall be brought exclusively in the federal or state courts located in Orange County, California, and you consent to the personal jurisdiction and venue of such courts.

For EU consumers: Notwithstanding the above, if you are a consumer habitually resident in the EU, you are entitled to the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in that country.

14.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.2 Waiver

Our failure to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision.

14.3 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VitalXCare Inc. regarding the use of our Services, superseding any prior agreements.
